I've recently set up a limited company and appointed mr thugulike as a co-director and company secretary. He agreed (to me in private) but hasn't signed anything. Can you really nominate anyone to be your company secretary without their knowledge. I've had all the documents through from Company House and he is listed as company secretary.

When you formed the company you would have put Mr T's details on the forms - you would also have agreed that he was consenting to be a Director & Co-Sec.

So yes, you can nominate someone to be the above but you would be committing fraud if you hadn't got their permission.

Don't forget that Companies House will write to each person and inform them of their obligations under the Companies Act.

Thanks oneeyedvic. It's been about 4 weeks now and no letter from Company's House has arrived. I am reassured that they will write and confirm though..
