Europa League.......who qualifies?

How many teams will qualify from England for next season's Europa League? I understand that one place will go to the winners of the Carling Cup, but will the losers qualify if the winners have already qualified for Champions League? (i.e. Aston Villa if they lose to Man U and finish outside top four)

I think there's at least three places, the two cups and fifth place, you've then got extra places for fair play etc.
If both finalists finish in a qualifying league position then it drops down a place.
