Is this a good deal...

Personally I'd go for the second one.....It has a core 2 duo processor which is a big plus. Also it's running windows XP as opposed to Vista. I have used Vista for about a month and would be more than happy to stick with XP at home for the meantime. You can always upgrade in the future.
