iPod nano feasibility question

I have a new iPod Nano which I would like to pass on to my son. First problem is, his PC only has Windows 98 so it won't run iTunes, but I have found that there are alternatives so I think we can get round that one, although there are lost so recommendations of the easiest/best to use would be much appreciated. Second problem is that he doesn't have any internet connection and the iPod has to be connected to the internet (to validate it?) before it can be used - or does it? If it does, could he do that via my internet connection, then rip his CDs and use it on his PC without the internet?
Is it really worth me giving it to him or would it be more hassle that it's worth?
