Are you running an anti virus program? I know that one of the big ones (can't remember which) gave that problem - it went into DOS mode in the background and hung - leaving that message on the screen. Go to www.computing.net and do a search - they have an answer there somewhere.
Do you have mapped network drives? This is a known issue. Try searching the Microsoft Knowledge Base (start at support.microsoft.com) with the words 'shutdown hangs'. There's solutions and patches.
Run a system file check, check for windows updates and/or flash the bios. I *had* the same problem ...(emphasis on 'had').
Happens often with 98. Download the shutdown patches
