My charity has been asked by the Charities Commission to make a minor change of wording to part of our constitution.
According to the constitution, we must call a special general election and two thirds of attendees must agree to the proposal and postal / email votes are permitted.
Emailing the 150 members, I have received positive replies from over 100 with no votes against. Thus we have the required majority - so the meeting will be totally superfluous. Can I legally cancel it? And how do I minute it?
My understanding is that the meeting must go ahead as previously advertised otherwise the conditions of your constitution will not be fulfilled. Cancelling the meeting effectively voids the votes you have currently received so you need to date to pass to make vote and decision to change the constitution valid. Have a chat with your local Council for voluntary service as they will help with the legal stuff on this.
