It's a reference to water that is so deep that you are literally 'out of your depth'...that is, you are in a situation which you can't handle.

Here's an idea, Croke...wouldn't it make more sense if you were to search through all these wonderful phraseology websites and find the actual answer the questioner is looking for?
I agree with quizmonster. Practically every site I have looked at in the last 5 minutes has had the same post from crokepark - it does get annoying even if he is only trying to help.
