We fear rejection as much as anybody and the more we fancy a lady, the less likely we are to make that move (well, I am!). So, as Lisa says, go for it, and the chances are he'll be glad you did...

From a blokes point of view, we are totally clueless as to whether a woman is interested or not, we cannot tell whether she is just being polite or what. So yes make the first move!
